COMPANY SECRETARY AND COMPLIANCE OFFICER
Position: Company Secretary & Compliance Officer
Location: SECTOR-5,FARIDABAD-HARYANA

Key Responsibilities:
Corporate Governance:
Ensure the company complies with standard financial and legal practice and maintains
standards of corporate governance.
Prepare agendas and minutes for board meetings, annual general meetings (AGMs), and committee meetings.
Compliance:
Monitor changes in relevant legislation and the regulatory environment, and take appropriate action.
Ensure compliance with the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
(LODR) and other applicable regulations.
Statutory Compliance:
Maintain statutory books, including registers of members, directors, and secretaries.
File necessary returns with regulatory authorities in a timely manner.
Legal Advisory:
Provide legal and strategic advice to the board and senior management.
Manage the company’s compliance with legal obligations and its exposure to legal risk.
Liaison:
Liaise with external regulators and advisers, such as lawyers and auditors.
Act as a point of communication between the board of directors and company shareholders.
Stock Exchange and Depositories:
Ensure compliance with the requirements of stock exchanges, including periodic reporting and disclosures.
Liaise with the Registrar and Transfer Agent (RTA) and manage the depository interface with NSDL/CDSL.
Internal Controls:
Establish and maintain effective internal controls to ensure the accuracy and reliability of financial and operational reporting.
Documentation and Record-Keeping:
Maintain records of decisions made and ensure they are appropriately documented and stored.
Ensure proper custody of the company seal and other critical documents.
Qualifications:
Membership: Must possess a valid membership number from the Institute of Company Secretaries of India (ICSI).
Experience:- 0-1 years of experience in a similar role.
Skills and Knowledge:
Comprehensive knowledge of SEBI (LODR) regulations, ICDS (Income Computation and Disclosure
Standards), and other applicable laws.
Familiarity with stock exchanges, RTA (Registrar and Transfer Agent), NSDL (National Securities
Depository Limited), and CDSL (Central Depository Services Limited).
Strong understanding of corporate law and governance practices.
Excellent communication and interpersonal skills.
Strong organizational and time management skills.
Ability to work independently and as part of a team.
